Acceptance of These Terms
These Terms of Service (“Terms”) govern your use of the Computer Samurai website and any services, memberships, support, consulting, monitoring, security, setup, maintenance, or related offerings provided by Computer Samurai (“Computer Samurai,” “we,” “us,” or “our”).
By using our website, purchasing or enrolling in a service, accepting a proposal, authorizing work, or otherwise using our services, you agree to these Terms. If you are accepting these Terms on behalf of a business or other organization, you represent that you have authority to bind that organization.
Our Services
Computer Samurai provides technology-related services that may include residential and small-business IT support, technical troubleshooting, device setup, remote assistance, monitoring and maintenance, cybersecurity tools and guidance, backup services, purchasing consultation, account and password-security assistance, and management or coordination of certain technology services.
The exact services included for you are determined by the membership, proposal, statement of work, order, invoice, service description, or other written agreement associated with your purchase.
If a written proposal, order, membership description, or service agreement conflicts with these general Terms on a service-specific issue, the more specific written terms will control for that issue.
Accounts & Eligibility
You agree to provide accurate, current information when creating an account, purchasing services, or communicating with us. You are responsible for maintaining the confidentiality of account credentials under your control and for promptly notifying us if you believe an account used in connection with our services has been compromised.
You must have the legal authority to authorize work on any device, account, network, system, software, or data you ask us to access or support.
Fees, Billing & Payment
You agree to pay the fees disclosed to you when you purchase, enroll in, or authorize services. Fees may include one-time charges, recurring membership charges, project fees, hardware or software costs, and applicable taxes.
If you authorize recurring billing, you authorize us or our payment processor to charge the payment method you provide according to the billing frequency and amount disclosed at enrollment, until the recurring service is cancelled or otherwise ends.
Third-party products, licenses, subscriptions, hardware, shipping, or other pass-through expenses may be billed separately when disclosed or approved.
Memberships, Cancellations, Refunds & Promotions
Membership services may continue until cancelled in accordance with the terms presented when you enroll. Cancellation stops future service and future recurring charges according to the applicable membership or service terms; it does not automatically create a refund for services already provided or billing periods already begun, except where required by law or expressly promised in a specific offer.
From time to time, Computer Samurai may offer trials, money-back guarantees, referral benefits, discounts, or other promotions. Eligibility, duration, refund amount, exclusions, and other conditions for a promotion are governed by the terms stated with that specific offer at the time it is presented to you.
This avoids ambiguity when different services or promotions have different guarantee periods or refund conditions.
Your Responsibilities
To help us provide effective and safe service, you agree to:
- Provide accurate information about the problem, device, account, network, or environment.
- Maintain lawful ownership or authorization for systems and data you ask us to access.
- Follow reasonable instructions we provide regarding security, updates, passwords, backups, and system use.
- Tell us about known security incidents, unusual behavior, or material system changes that may affect our work.
- Maintain appropriate licenses for software and services you use.
- Avoid intentionally interfering with monitoring, security, backup, or support tools installed as part of your service.
Remote Access & Technical Work
Some services may require remote-access, monitoring, maintenance, security, or management software to be installed on supported devices. By requesting or enrolling in those services, you authorize Computer Samurai to use those tools as reasonably necessary to provide the services you selected.
Technical work can involve updates, configuration changes, software installation or removal, account changes, security settings, system restarts, and other modifications. Although we use reasonable care, technology work can sometimes result in unexpected behavior, compatibility issues, downtime, or data loss.
Backups & Your Data
Unless a specific backup service is included in your written service agreement, you are responsible for maintaining current, usable backups of important data before service is performed.
Even when backup services are included, no backup system can guarantee against every possible failure, corruption event, deletion, cyberattack, or disaster. We encourage customers to maintain appropriate backup practices for the importance and sensitivity of their information.
Our handling of personal information is also governed by our Privacy Policy.
Cybersecurity & Security Limitations
We work to reduce risk, not pretend risk can disappear.
Security is a shared responsibility. We use professional tools, practices, and guidance designed to improve protection, while being clear that no provider, product, monitoring system, antivirus tool, backup, or security control can guarantee prevention of every incident.
Cyber threats evolve continuously. Services intended to improve security do not constitute a warranty that a device, account, network, business, or individual will never experience malware, unauthorized access, fraud, data loss, identity theft, service interruption, or another security incident.
Third-Party Products & Services
We may recommend, configure, resell, manage, or help you use products and services provided by third parties, including software, hardware, cloud services, internet providers, domain registrars, email platforms, security vendors, and backup providers.
Third-party products and services are subject to their own terms, licenses, warranties, privacy practices, pricing, availability, and service levels. Computer Samurai does not control and is not responsible for changes, outages, defects, security events, or other acts or omissions of independent third parties, except to the extent required by law or expressly stated in a separate written agreement.
Acceptable Use
You may not use our website, services, systems, or personnel to:
- Violate applicable law or the rights of another person or organization.
- Access systems, accounts, devices, or data without authorization.
- Distribute malware, conduct attacks, evade security controls, or facilitate harmful activity.
- Harass, threaten, impersonate, defraud, or intentionally mislead others.
- Interfere with or attempt to compromise Computer Samurai systems or services.
We may refuse or discontinue work that we reasonably believe is unlawful, unsafe, fraudulent, abusive, or outside the scope of services we provide.
Intellectual Property
The Computer Samurai name, branding, website content, original educational materials, graphics, documentation, and other content created by us are owned by Computer Samurai or used with permission and are protected by applicable intellectual-property laws.
These Terms do not transfer ownership of our intellectual property to you. Third-party software and materials remain subject to the rights and licenses of their respective owners.
Warranties & Disclaimers
We strive to provide professional, helpful, and reliable service. However, except for any express warranty or guarantee specifically provided to you in writing and to the fullest extent permitted by law, our website and services are provided on an “as is” and “as available” basis.
We do not warrant that every technical problem can be diagnosed or resolved, that every device or service will remain compatible, that third-party services will remain available, or that systems will operate without interruption or error.
Limitation of Liability
To the fullest extent permitted by applicable law, Computer Samurai will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of use, business interruption, or loss of data arising from or related to the website or services.
To the fullest extent permitted by applicable law, Computer Samurai’s aggregate liability arising from a claim related to services will not exceed the amount you paid Computer Samurai for the specific service giving rise to the claim during the six months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above limitations may not apply to you.
Indemnification
To the extent permitted by law, you agree to indemnify and hold Computer Samurai harmless from third-party claims, damages, liabilities, and reasonable costs arising from your unlawful use of our services, your violation of these Terms, or your lack of authority to direct us to access a device, account, system, or data.
Suspension & Termination
We may suspend or terminate services for nonpayment, misuse, unlawful activity, threats to security, abuse of our personnel, material violation of these Terms, or when continuing service would create unreasonable technical, legal, or safety risk.
Termination does not eliminate payment obligations that arose before termination. When appropriate, we will make reasonable efforts to provide information needed for an orderly transition, subject to payment of outstanding amounts and applicable law.
Changes to These Terms
We may update these Terms as our services, technology, or legal obligations change. When we do, we will post the revised Terms on this page and update the “Last updated” date above. Material changes will apply prospectively unless applicable law permits otherwise.
Governing Law & General Terms
These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-laws principles, except where applicable law requires otherwise.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver of the right to enforce it later.
These Terms, together with any applicable proposal, service agreement, order, membership description, invoice terms, and our Privacy Policy, form the agreement governing the applicable services.
